Sr Corporate Paralegal 

Pittsburgh, PA - Hybrid schedule

 

Summary: 

The Corporate Paralegal plays a critical role on the OGC team specifically responsible for supporting: the Vice President, Secretary, and General Counsel with SEC and NYSE compliance and reporting responsibilities; the corporate ESG report; corporate governance matters, and subsidiary management.  In this role, the Senior Corporate Paralegal must work independently, with general guidance from managers. The role is key to ensuring compliance with legal and regulatory obligations.

 

Responsibilities:

  • Execute key tasks and projects of a semi-complex to complex nature.
  • Perform analysis of issues of semi-complex to complex in nature; and develop recommendations in support of achieving business objectives.
  • Ensure compliance with SEC and related disclosure requirements.
  • Manage Section 16 reporting process:  research, prepare, and timely file forms 3, 4, and 5 electronically with SEC.
  • Gather and prepare information necessary for proxy statements including compensation tables, beneficial ownership, and other information required for compliance with SEC regulations and NYSE listing requirements.  Assist attorneys with other disclosures as requested.
  • The sole responsibility for maintenance of internal databases of beneficial ownership for reporting officers and directors.
  • Coordination of D&O questionnaires; monitoring responses and independently updating Board information binders as required.
  • Coordinate Annual Meetings of Shareowners.
  • Filing annual and interim written affirmations with NYSE.
  • Subsidiary management:
  •  Maintain a master listing of global legal entities, along with the Officers and Directors of each.
  • Research, prepare, and distribute an internal, and international listing of Kennametal entities including ownership percentages, jurisdictions of incorporation, and affiliated organizational charts.
  • Function as point person for shareowner relations.  Interface with stock transfer agent and registrar.
  • Prepare formation, transaction, and/or closing documents and legal filings, and provide paralegal support with direction from attorneys on special projects for the Finance department (i.e., credit facility, international cash pooling arrangements, cash repatriations, debt offerings).
  • Prepare and file business license renewals and trade name renewals.
  • Maintain blackout period calendar and dividend dates calendar.
  • Manage covered person list for insider trading purposes, and coordinate insider pre-clearance process.
  • Assist in project management of corporate ESG report; gather corporate governance information as required for the report and assist in gathering other information for the report, as required.

 

Education and Experience:

  • Paralegal degree or equivalent corporate paralegal experience required
  • At least 5 years experience with Corporate Governance/SEC reporting preferred
  • Experience with SEC reporting – high level of detail orientation and accuracy
  • Experience with corporate governance – drafting preliminary meeting minutes
  • Experience with proxy statements – be able to support and quarterback the process (project management)
  • Experience with the organization of annual shareholder meetings
