Job Title: APAC Legal Counsel

Reports to: VP, General Counsel and Secretary, Based in US

Location: Shanghai, China

 

Summary

The legal counsel for Asia/Pacific Region will be responsible for providing legal guidance and support to Kennametal management in the region and will be a part of the regional leadership team.  The position will also be responsible for overall oversight of ethics, compliance, and legal matters in the region.

  

Key Job Responsibilities  

  • Provide legal guidance and oversight on antitrust compliance, government investigations, export control, technology transactions, mergers and acquisitions (including due diligence), labor and employment matters, regional litigation, and be the regional liaison to the corporate intellectual property team.
  • Be the principal legal reviewer of all agreements in China and facilitate legal review of these agreements by outside counsel in other regions.  Work with the business to ensure compliance with commercial contract procedures in the region, including Ariba (the electronic contract management system).
  • Subsidiary management - maintain and manage the legal entities, officers, and directors in the region. Work with finance and other internal team members to manage, create, or liquidate legal entities, as necessary.  Ensure compliance with legal filing requirements associated with all legal entities in the region.
  • Draft local policies, as necessary; counsel Kennametal management regarding the implementation and administration of corporate and local specific policies.
  • Provide education and training to the management team in the region on all legal matters and corporate and local policies
  • Monitor and maintain compliance with regulatory requirements, inclusive of import/export control, antitrust, FCPA, UK Bribery Act, local anti-bribery law requirements, and Kennametal policies and procedures (i.e. Code of Business Ethics and Conduct/BECC, Confidential Information, Trade Secret Policy).
  • Act as the primary liaison on all ethics and compliance matters in the region.  Assist with coordinating investigations, as necessary.
  • Take care of litigation and dispute resolution, including performance of litigation risk analysis with a focus on the cost/benefit analysis on settlement of litigation matters vs. trial costs and potential adverse verdicts. 

 

Education, Work Experience, Skills, Certificates Required 

  • LLB/ LLM/ Juris Doctor or equivalent degree in the region and admitted to practice law in China.
  • 8-15 years legal experience in the practice of corporate, commercial and employment law, with experience in a manufacturing company a plus.
  • At least 2-5 years experience in a large international law firm (post qualification) and additional 3-5 years experience in a multinational company; or 5-7 years experience as in-house legal counsel (post qualification) in a large US multinational company in PRC, preferred.
  • Fluent in Mandarin and English, written and spoken is required.
  • Highly organized, meticulous, motivated, decisive and a people-oriented team player
  • Great written and communication skills in English; have ability to multi-task in a fast-paced environment and to cope with pressure.
